Welcome to the Noble Origins Wholesale Portal! These Terms & Conditions (“Terms”) govern your access to and use of the Noble Origins Wholesale Portal (“Portal”) and your purchase of Noble Origins products (“Products”) at wholesale rates. By submitting a wholesale application, accessing the Portal, or placing an order, you (“Buyer” or “you”) agree to be bound by these Terms. Please read them carefully.

1. Eligibility and Application Process

1.1. Eligibility: The Noble Wholesale Program is open to registered businesses (e.g., retailers, gyms, wellness centers) purchasing Products for resale, not for personal use or B2B (business-to-business) resale.
1.2. Application: To join, complete the wholesale application with accurate business details.
1.3. Review and Approval: We will review your application and notify you of our decision via email within 72 hours. If approved, you will receive access to the Portal. We reserve the right to deny or revoke access at our sole discretion.

2. Ordering and Pricing

2.1. Minimum Order Quantity (MOQ): The minimum order is 10 bags of Noble All-in-One Protein at $55 per bag (total $550 per order).
2.2. Pricing: Wholesale pricing is $55 per bag, listed in USD, and subject to change without notice. Shipping and applicable taxes are not included unless otherwise specified.
2.3. Order Placement: Orders are placed through the Portal. After placing an order, an invoice will be generated and sent to your email for payment.
2.4. Order Fulfillment: Orders are fulfilled only after the invoice is paid in full. Product ships within [specify timeframe, e.g., 2 business days] of payment confirmation, subject to availability.
2.5. Availability: Product availability is not guaranteed. If an item is out of stock, we will notify you and offer a credit or refund, at our discretion.

3. Payment Terms

3.1. Payment: Full payment is due upon receipt of the invoice (Net Zero terms), payable via the method specified in the invoice.
3.2. Taxes: Buyer is responsible for all applicable sales or use taxes unless a valid resale certificate is provided at the time of order placement.
3.3. Late Payments: Late payments may incur interest at a rate of 1.5% per month or the maximum allowed by law.

4. Shipping and Delivery

4.1. Shipping Costs: Buyer is responsible for shipping costs, calculated at checkout unless otherwise stated.
4.2. Delivery: Delivery timelines are estimates and may vary due to carrier delays or unforeseen circumstances.
4.3. Risk of Loss: Title and risk of loss transfer to Buyer upon delivery to the shipping carrier.

5. Returns and Exchanges

5.1. Inspection: Buyer must inspect shipments upon receipt and report defects, damages, or discrepancies to wholesale@nobleorigins.com within 7 days of delivery.
5.2. Returns: Returns are accepted only for defective or damaged Products, subject to our approval. Unauthorized returns will not be accepted. Buyer covers return shipping costs unless the return is due to our error.
5.3. Refunds/Credits: Approved returns will be processed as a credit or refund, at our discretion, within 14 business days of receipt of returned goods.

6. Resale Restrictions

6.1. Authorized Resale: Products are for resale to end consumers through your business only. B2B resale is prohibited.
6.2. Pricing Control: Buyer agrees to sell Products at or above the Manufacturer’s Suggested Retail Price (MSRP) unless otherwise approved by us in writing.

7. Account Responsibilities

7.1. Account Security: Buyer is responsible for maintaining the confidentiality of Portal login credentials and for all activities under their account. Notify us immediately of unauthorized use at wholesale@nobleorigins.com.
7.2. Termination: We may suspend or terminate your account at our discretion, including for violations of these Terms or misuse of the Portal or Products.

8. Limitation of Liability

8.1. As-Is Basis: Products are sold “as is.” We make no warranties, express or implied, beyond those provided by the manufacturer.
8.2. Liability Cap: Our liability for any claim arising from these Terms or your use of the Portal or Products shall not exceed the total amount paid by you for the order in question. We are not liable for indirect, consequential, or punitive damages.

9. General Provisions

9.1. Governing Law: These Terms are governed by the laws of [specify jurisdiction, e.g., the State of California], without regard to conflict of law principles.
